Terms of Service

Last updated: 23 October 2026

DIGEN is an applied AI research company focused on helping people create video and related media with AI. The DIGEN services are provided by DIGEN OÜ / LIVEME TECHNOLOGY LIMITED (addresses: Ahtri tn 12, Tallinn, 10151, Estonia / Workshop 60, 3/F, Blk A, East Sun Industrial Centre, No. 16 Shing Yip Street, Kwun Tong, Hong Kong) (“DIGEN,” “we,” “us,” or “our”).

These Terms of Service (this “Agreement”) apply to your access to and use of DIGEN products and services, including websites, applications, agent.digen.ai, APIs, MCP servers, CLI tooling, and related software (the “Services”).

This Agreement is entered into by the entity or person placing an order for or accessing the Services (“Customer,” “User,” or “you”) and us. If you are agreeing on behalf of an organization, this Agreement binds that organization unless a separate written agreement applies. You confirm you have authority to bind that organization.

By accessing or using the Services you agree to be bound by this Agreement. If you do not agree, do not access or use the Services. Please do not use the Services if you are under 18 years of age or barred from doing so under applicable law.

This Agreement works together with our Privacy Policy, Acceptable Use Policy, Community Guidelines, Content Standards, Real Persons Policy, and Agent Use Policy. If there is a conflict on a safety topic, the more protective rule applies.

1. Services

1.1 Scope. This Agreement governs access to and subscription to the Services. Certain features may be subject to additional Feature-Specific Terms incorporated by reference. By using a feature, you agree to those terms.

1.2 Availability. We make commercially reasonable efforts to keep the Services available, but access may be disrupted for maintenance, technical issues, capacity, or events outside our control. We may update, withdraw, or amend the Services in our discretion. We do not guarantee uninterrupted availability.

2. Use of the Services

2.1 Access rights. Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription or access period. You may not distribute, sublicense, sell, or make available any part of the Services to third parties except as expressly permitted (for example, through documented APIs under an integration you control).

2.2 Usage limits. Access may be subject to plan limits. You are responsible for complying with those limits. We may bill overages or limit excess usage.

2.3 Accounts. You must register with true, current, complete, and accurate information and keep it updated. Keep credentials confidential. Login details may not be shared. You are responsible for activity under your account.

2.4 Devices. You are responsible for equipment, connectivity, and software needed to use the Services.

2.5 Restrictions. Except as permitted by law or expressly authorized, you must not: (a) license, sell, rent, host, or similarly exploit the Services; (b) frame the Services; (c) reverse engineer or create derivative works of the Software except where prohibited restrictions are unlawful; (d) scrape or harvest data from the Services using automated means (other than public search engine indexing we expressly permit); (e) remove proprietary notices; (f) represent that AI-generated outputs were solely human-generated when they were not, in a misleading way; or (g) use the Services to build competing models by systematically extracting outputs for that purpose.

3. Eligibility, age, and geography

3.1 Age. You must be at least 18 years old to create an account or use generation features. By using the Services you represent that you meet this requirement. Age is also stated at signup via a mainstream “By continuing…” pattern; we may present additional age confirmation in special flows.

3.2 Geography. The Services are not offered in mainland China or other restricted regions as we configure from time to time. Access from restricted regions, or attempts to circumvent geographic restrictions, is not permitted and may lead to suspension or termination.

3.3 Compliance. You must use the Services in compliance with applicable law, this Agreement, and the Acceptable Use Policy.

4. Payment and billing

4.1 Plans. We offer free and paid plans. Prices and features are published on the DIGEN website and may change.

4.2 Fees and authorization. You authorize us and our payment providers to charge applicable fees using your selected payment method. Fees are generally due at purchase and, except as required by law or as set out in our refund terms below, are non-refundable.

4.3 Automatic renewal. Paid subscriptions renew automatically for the same period at then-current rates unless you cancel before renewal through your account, payment channel (for example PayPal, Google Pay, Stripe), or by contacting [email protected].

4.4 Taxes. Fees may be exclusive of taxes unless stated otherwise. You are responsible for applicable taxes. Where we are required to collect tax, we will invoice or charge it.

4.5 Free trials. Free trials or limited offers may be modified or ended without notice, subject to availability and any additional terms presented at signup.

5. Your content, inputs, and outputs

5.1 Your Content. You (not DIGEN) are solely responsible for images, video, audio, text, prompts, uploads, and other materials you submit (“Input”) and for outputs generated for you (“Output,” together with Input, “Your Content”). You represent that you have all rights needed to provide Your Content.

5.2 Ownership of outputs. Subject to your compliance with this Agreement and the Acceptable Use Policy, we do not claim ownership of your Input or Output, and we do not restrict your commercial use of Output solely because it was generated on the Services. Other users’ content remains theirs.

5.3 License to operate the Services. You grant DIGEN a worldwide, royalty-free, sublicensable license to host, process, display, modify, and reproduce Your Content as needed to provide, maintain, secure, and improve the Services (including content moderation, abuse prevention, and quality). Where our product settings or a written agreement provide an opt-out from certain model-improvement uses, we will honor that setting to the extent described in the Privacy Policy or product UI.

5.4 No obligation to pre-screen. We have no obligation to pre-screen all content, but we may review, refuse, remove, or restrict content that violates this Agreement or our policies.

5.5 Storage. Unless we agree otherwise in writing, we have no obligation to store Your Content indefinitely. Generated videos and similar assets may be retained for a limited period (for example, an operational target of about 30 days from creation for certain free or standard storage) and then deleted. Download content you need to keep. Limits on size and processing may apply.

5.6 Provenance. You must not remove or alter AI provenance markings or related metadata. Integrators should preserve them when redistributing outputs.

6. Acceptable use and safety

6.1 Policies. You must comply with the Acceptable Use Policy, Content Standards, Community Guidelines, Real Persons Policy, and (if applicable) Agent Use Policy.

6.2 SFW. The Services are safe-for-work (SFW) across the entire product. Adult, pornographic, or sexual content — including fictional — is not allowed.

6.3 Zero-tolerance harms. CSAM and any sexualization of minors (including anime or fictional depictions), non-consensual intimate imagery (NCII), sexual deepfakes of real people, and sexual violence are strictly prohibited. We may preserve relevant records and report to NCMEC or similar organizations where applicable.

6.4 Enforcement. We may investigate violations and take action including content removal, feature restriction, suspension, permanent ban, and reporting to authorities. Timelines described in our policies are operational targets and may change based on verification needs; they are not absolute SLAs.

7. Intellectual property

7.1 Our IP. We and our licensors retain all rights in the Services, Software, branding, and DIGEN materials, except for the limited rights expressly granted to you.

7.2 Feedback. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

7.3 Open source. Components released under open-source licenses are governed by those licenses where required.

8. Data processing

We process personal data as described in the Privacy Policy. If you upload personal data about others, you represent that you have a lawful basis to do so and to instruct us to process it to provide the Services.

9. Third-party services

The Services may link to or integrate third-party sites, payment providers, model providers, or tools. We are not responsible for third-party terms or practices. Your use of third-party services is governed by their terms.

10. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE UNIQUE, ACCURATE, OR FIT FOR A PARTICULAR USE.

11. Limitation of liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGEN AND ITS AFFILIATES WILL NOT BE LIABLE FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

11.2 SUBJECT TO 11.1, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. FOR FREE SERVICES, OUR AGGREGATE LIABILITY IS LIMITED TO USD 1.

11.3 Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the greatest extent permitted by law.

11.4 Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.

12. Term and termination

This Agreement starts when you accept it and continues until terminated. You may cancel as described in your account or billing channel. We may suspend or terminate for material breach (including AUP violations) immediately where appropriate. Upon termination, licenses end and we may delete account content after a commercially reasonable period, subject to legal retention needs.

13. Refunds

Unless required by law, refunds are handled under the following operational rules (which may be updated):

  • Full refund may be available if claimed within 7 days of purchase, you have generated less than about 5 minutes of Customer Created Videos, and you are not on an Enterprise Plan.
  • After day 7, or if usage exceeds that threshold, refunds (if any) are discretionary and may be partial.
  • Enterprise Plans are generally non-refundable for convenience.
  • EU/UK consumers may have statutory withdrawal rights; if you have used the Services extensively before withdrawing, we may provide a pro-rated refund as permitted by law.

Request refunds at [email protected]. Issuing a refund may include suspending the related account.

14. Miscellaneous

14.1 Changes. We may revise this Agreement by posting an updated version. Material changes may be notified in-product or by email. Continued use after the effective date constitutes acceptance to the extent permitted by law.

14.2 Governing law. This Agreement is governed by the laws of Estonia, excluding conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the courts of Estonia, without prejudice to mandatory consumer protections of your country of residence in the EU where applicable.

14.3 Entire agreement. This Agreement, together with incorporated policies, is the entire agreement regarding the Services and supersedes prior understandings on the same subject.

14.4 Severability. If any provision is unenforceable, the remainder remains in effect.
